Service Agreement Igile grants you non-exclusive limited, non-transferable license and no assignable license to use our website design and website service. You shall have no rights to source code to any website and shall not have any rights to create any derivative works or make translations of the website and shall not disassemble, decompile, reverse assemble, reverse compile, recompile or make extracts from such website or attempt to determine the source code or permit others to do so. No License is granted for any use or reproduction of any website for which the required per copy fees has not been made by you. 1. General These Terms and Conditions ("Agreement") governs the use of the services ("Service") that are made available by Igile Technologies India Pvt. Ltd. ("Igile", “Service provider” "we" or "us"). These Terms and Conditions represent the whole agreement and understanding between Igile and the individual or entity who subscribes to our service ("Subscriber" or "you"). All website design/development and related services will be governed & performed as per this agreement unless a specific agreement is created between company and client. PLEASE READ THIS AGREEMENT CAREFULLY. By your use of the Service, you agree to comply with all of the terms and conditions set out in this Agreement. Igile may terminate your account at any time, with or without notice, for conduct that is in breach of this Agreement, for conduct that Igile believes is harmful to its business, or for conduct where the use of the Service is harmful to any other party. Igile may, in its sole discretion, change or modify this Agreement at any time, with or without notice. Such changes or modifications shall be made effective for all Subscribers upon posting of the modified Agreement to this web address (URL): https://www.igile.in/terms-and-conditions/. You are responsible to read this document from time to time to ensure that your use of the Service remains in compliance with this Agreement. Further, the service provider agrees to deliver services mentioned in Point 2 of the agreement as per the timeline mentioned in Point 3 of this Agreement. Client agrees to make the payments on schedule as per the Point 4 of the agreement and will deliver the content as per point 5 of the agreement. 2. Website Design, Development & Related Edit Services Company will provide services as mentioned in the initial proposal to the client. Client on acceptance of the proposal in written or verbally agrees to subscribe the services. Any modification should be requested before the project start. Change of scope will be billed depending on additional hours required at a rate that will be specified based on the task. Proposal is considered as reference document unless otherwise specified. All website edit and modifications services for already live websites are done on per job basis. Client will be provided the quote based on the requirements client provides. As these are job based tasks, so quote is based on what client requests before start of the job. Any modifications, additions, edits to job after start of work will lead to increase in costs. 3. Estimated Website Delivery : Estimated website delivery time will be notified to client before the commencement of the project. Actual timeline may vary and estimated delivery timelines are based on maximum of 2 working days revert back from client, whenever certain information is asked for. This information can be but not limited to feedback, access to domain name, hosting, content, pictures etc. 4. Payment Schedule : a. 80% at the time of receiving work order. b. 20% at the completion of website (upon roll out). c. It being a service, all payments made are non-refundable. In event of project cancellation all dues are to be paid in full within 10 days of project cancellation. d. Any feature added to the regular website package will be additionally charged. e. Paid images if used will be charged extra. f. All payments are non-refundable and in case of project cancellation, remaining committed project payments will be charged as cancellation fees. All payments pertaining to project will be due immediately. g. In case of any client not responding to our requests for 30 days, project will be considered complete & all payments pertaining to project will be due immediately. h. Any disputes are subject to UP jurisdiction courts only. 5. Content and other points a. Client will ensure that all the content, images or any other information that is to be made available will be provided or paid accordingly if Igile provides any such service. b. Access to domain name and hosting control panel is restricted only to Igile web admins. c. Client will ensure that all feedback and information is provided in reasonable timeframe. For website edit jobs, information is to be provided before the project start. In case of client delaying the information, project costs can increase. d. More than unreasonable delay will result in automatic project cancellation. e. Website projects have maximum timeline of 120 days. If projects are delayed for more than 120 days due to non-coordination or delay on part of client and Igile still works on it beyond this timeline, after 120 days, 12% (of order value) per month additional fees will be applicable. 6. Non Disclosure Clause : a. Client will provide the Hosting Service passwords. Igile Services will not share the data/content/passwords provided with any external source. Igile Services will share the given data only with its employees/partners working on the project. b. Once the site is live, client will take responsibility of the site. If anything goes wrong with live site, on client’s request Igile will look into the problem. Problem caused due to external issues but not limited to spamming, hacking, hosting, human error etc will be resolved on job basis pricing. No modification request will be entertained after the project goes live. Design or layout modifications are to be requested before home page design approval. There might be additional charge for these modifications. c. Agreement will be in effect from the day of first brainstorming or communication from client in any form to start the website project or on payment of first instalment and it doesn’t require to be signed in person. 7. Services Igile offers to buy the domain name, website hosting, and/or email hosting services for the duration of the service term purchased from us. Services are provided on the basis of facility and equipment availability. Igile reserves the right to modify, change, or discontinue any aspect of the Services at any time. Access to the web and email servers is terminated upon expiry of the Service. 8. Limited usage granted Each individual design can be used on a single website only, belonging to you. You must purchase the same design once more in order to make or have another project with the same design. 9. Imagery, clipart and fonts All imagery, clipart and fonts used in our templates are royalty-free and are the integral part of our products. Limited-usage License gives you the right to use images, clipart and fonts only as a part of the website built. You can use imagery, clipart and fonts to develop one project only. Any kind of separate usage or distribution is prohibited 10. Modifications You are not authorized to make any modification(s) to any design part provided by Igile or other content providers who are providing licensed designs and, assets or materials. 11. Unauthorized use You may not place any of the designs, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind without prior written consent. 12. Assignability You may not sub-license, assign, or transfer this license to anyone else without prior written consent. 13. Ownership You may not claim intellectual or exclusive ownership to any of our products offered by the service, modified or unmodified. All products are property of independent content providers. Our products and service are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products. 14. Exclusive design When accepting the design, we offered, you acknowledge that others may choose the same design either before or after you. You can contact us to obtain the cost of a particular design for exclusive use.
